Northern Data has failed to sell a data center campus in Texas.

The company this week announced that its option to re-acquire and sell the Corpus Christi site for HPC purposes will expire without a transaction for the site being finalized.

Northern, which is in the process of being acquired by alt-tech video platform and cloud services provider Rumble Inc, was previously in the process of selling its Corpus Christi campus in Texas to a “leading global infrastructure asset management firm.”

The unnamed party was previously said to be evaluating the location for HPC purposes under an exclusivity agreement.

Northern has previously said the Corpus Christi sites have 600MW of available grid capacity, of which 100MW is used for Bitcoin mining operations.

The company noted the move will also impact the ongoing acquisition offer from Rumble Inc. A $200 million cash payment to Northern Data shareholders who accept the proposed offer was based on the completion of this transaction for the Corpus Christi site. That cash payment will now be zero as a result.

The group, however, continues to retain the right to receive up to $150m of proceeds from its previously secured earn-out option related to existing and future profits generated by ongoing mining operations at the site.

Additionally, if the site were to be sold by the current owners to a third party through the end of the five-year earn-out period, Northern Data could retain up to 95 percent of the net proceeds generated by the sale, scaling down on a quarterly basis. Proceeds if a sale does go through at a later date will “benefit the group.”

Northern Data was founded as Northern Bitcoin AG in Germany in 2009 and branded itself as a 'green' Bitcoin mining company.

In 2020, Northern Bitcoin was officially renamed Northern Data Group and moved its focus to HPC. And in the summer of 2023, Northern split its business into three brands: Taiga Cloud, Ardent Data Centers, and Peak Mining.

The company, along with its Ardent and Taiga divisions, are set to be acquired by Rumble Inc., while its cryptomining division is being offloaded.
