Investment firms Helios and Fipar have merged three Moroccan companies into a new IT services player.

Africa-focused private investment firm Helios Investment Partners and Fipar-Holding, a subsidiary of CDG Invest, this week announced the creation of 3MDC, a new digital infrastructure platform.

The companies said the new platform aims to “accelerate Morocco’s digital transformation and strengthen its position as a regional technology hub.”

The new unit brings together three existing Moroccan players with Maroc Datacenter (MDC), Munisys, and Medasys.

The merger combines MDC’s data center with Munisys’ on-premises cloud, cybersecurity, systems integration, and digital solutions, as well as Medasys' IT system integration expertise.

3MDC company will be jointly owned by Helios IV (44 percent), Fipar (40 percent), and the founders and management teams (collectively 16 percent).

Founded in 2004, Helios is a London-based private equity investment firm focused on Africa. It has previously invested in Afsat Communications and Helios Towers. In 2022, the company took majority stakes in Morocco's Maroc Datacenter and Kenya’s IXAfrica. It is in the process of acquiring Telecom Egypt’s data center in Cairo.

Fipar-Holding is an investment firm owned by CDG Invest, the investment arm of the Caisse de Dépôt et de Gestion (CDG) Group.

Khalid Ziane, general manager of Fipar, added: “This partnership reflects our ambition to strengthen Morocco’s technological foundations and support the emergence of a modern, resilient, and inclusive digital ecosystem. The new platform will play a pivotal role in accelerating the country’s digital transition.”

News that Helios and Fipar were set to merge the three firms surfaced in October via the Moroccan government.

Together with MDC and Medasys, we will deliver a truly end-to-end, locally hosted and secure platform for Morocco’s digital economy.”

Founded in 2017, MDC operates a single 2,000 sqm (21,500 sq ft) facility in the Rabat metro area of Morocco.
